These Terms of Service ("Terms") govern your access to and use of the website located at https://www.useintello.com (the "Site") and the software-as-a-service platform, APIs, and related services provided by Intello Software LLC ("Intello," "we," "us," or "our") (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

The Service is intended for business use. You must be at least 18 years old to use the Service.

You may only use the Service in compliance with applicable laws and regulations.

To access certain features of the Service, you must create an account.

You agree to provide accurate and complete information and to keep it updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately of any unauthorized use of your account.

You may use the Service solely for your internal business purposes.

You agree not to misuse the Service or use it in a way that could harm Intello, other users, or third parties.

• Reverse engineer, decompile, or attempt to extract source code.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the Service to process unlawful, harmful, or infringing content.
• Attempt to gain unauthorized access to systems or data.
• Use the Service to transmit malware or malicious code.

You retain all rights to data you submit to the Service ("Customer Data").

You grant Intello a limited, non-exclusive, worldwide license to process Customer Data solely to provide and improve the Service.

You are responsible for ensuring that you have the rights to submit Customer Data and that your use complies with applicable laws.

You agree not to submit sensitive personal data unless explicitly agreed in writing with Intello.

The Service enables monitoring of APIs and integrations and may process logs, metadata, and operational data.

Intello is not responsible for the underlying systems, APIs, or third-party services that you connect to the Service.

You acknowledge that integrations may change, fail, or behave unpredictably, and Intello does not guarantee uninterrupted monitoring or detection.

Certain features of the Service may require payment.

Payments are processed through third-party providers such as Stripe.

You agree to pay all applicable fees and taxes.

Fees are non-refundable except as required by law or expressly stated.

Subscriptions may renew automatically unless canceled prior to the renewal date.

You may cancel your subscription at any time, but cancellations will take effect at the end of the current billing period.

We may change pricing with reasonable notice.

The Service, including all software, content, and technology, is owned by Intello or its licensors.

These Terms do not grant you any rights to Intello’s intellectual property except for the limited right to use the Service.

If you provide feedback or suggestions, you grant Intello a perpetual, irrevocable, royalty-free license to use and incorporate that feedback without restriction.

Each party agrees to protect the other party’s confidential information using reasonable care.

Confidential information includes non-public business, technical, and financial information.

This obligation does not apply to information that is publicly available or independently developed.

We implement reasonable security measures designed to protect the Service and Customer Data.

You are responsible for configuring the Service appropriately and for securing your own systems and integrations.

Our collection and use of personal information is described in our Privacy Policy.

Where applicable, a Data Processing Agreement (DPA) governs processing of personal data on behalf of customers.

The Service may integrate with third-party services.

Intello is not responsible for third-party services, their availability, or their data practices.

Your use of third-party services is governed by their terms.

We may modify, suspend, or discontinue the Service at any time.

We do not guarantee that the Service will be uninterrupted or error-free.

We may release updates, enhancements, or new features at our discretion.

You may stop using the Service at any time.

We may suspend or terminate your access if you violate these Terms.

Upon termination, your right to use the Service will cease immediately.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

INTELLO DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

INTELLO DOES NOT GUARANTEE THAT THE SERVICE WILL DETECT ALL INTEGRATION ISSUES OR ERRORS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTELLO WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

INTELLO’S TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE 12 MONTHS PRIOR TO THE CLAIM.

You agree to indemnify and hold harmless Intello from claims arising out of your use of the Service, your Customer Data, or your violation of these Terms.

These Terms are governed by the laws of the State of Florida, without regard to conflict of laws principles.

Any disputes arising under these Terms will be resolved through binding arbitration, except where prohibited by law.

You waive the right to participate in class actions.

You agree to comply with all applicable export control laws and regulations.

We may update these Terms from time to time.

We will provide notice of material changes where required.

Your continued use of the Service constitutes acceptance of the updated Terms.
